Please read these Terms & Conditions (“Terms”, “Agreement”) carefully before using the website or engaging the custom development services offered by Codeables (“we”, “us”, “our”). By accessing our website or hiring us for software development, you agree to be bound by these Terms.

## 1. Services & Scope of Work

Codeables provides custom software engineering, algorithmic trading script development (Pine Script, MQL4/MQL5, AFL, Python), automated strategy deployment, and consultancy services.
* **Project Scope:** Each development project is governed by a specific project definition, timeline, and delivery milestone agreed upon before work begins. Any changes outside the agreed scope will be treated as minor tweaks or subject to additional billing.
* **Delivery Formats:** Source codes and compiled files (e.g., `.mq4`, `.ex4`, `.mq5`, `.ex5`, `.afl`, `.py`) will be delivered upon successful project completion and final payment.

## 2. Client Responsibilities & Financial Risk Disclaimer

* **API & Account Management:** The client is entirely responsible for generating, securing, and managing their broker API keys, tokens, and webhooks.
* **Financial Market Risk:** Algorithmic trading involves substantial financial risk. Codeables merely acts as a technical development agency translating user-defined logic into code. **We do not offer financial advice, guaranteed return strategies, or commercial trading signals.** * **Trading Losses:** Codeables, its developers, and associates shall not be held liable for any financial losses, account liquidations, margin calls, or execution errors resulting from live market trading or the use of our delivered software.

## 3. Intellectual Property (IP) Ownership

* **Client Logic Ownership:** The trading logic, formula, or custom strategy provided by the client remains the exclusive intellectual property of the client.
* **Code Ownership:** Upon full and final payment of the project invoice, 100% ownership and rights of the custom-built source code are transferred completely to the client.
* **Frameworks & Modules:** Codeables retains the right to reuse standard code snippets, open-source libraries, UI modules, and pre-built operational frameworks utilized during development.

## 4. Testing, Warranty, and Support

* **Backtesting & Paper Trading:** We strongly require all clients to thoroughly test delivered Expert Advisors, scripts, and bots in simulation or paper-trading modes for a minimum period before deploying them live.
* **Warranty Period:** We offer a standard post-delivery support period (as specified in your project agreement) to fix bugs or deployment glitches occurring strictly within the original scope of work.
* **Third-Party Updates:** Codeables is not responsible for script breakages or connection failures caused by sudden updates, API layout modifications, or policy revisions made by external platforms (e.g., TradingView updates, MetaTrader terminal updates, or Broker API updates).

## 5. Payment Terms & Refund Policy

* **Milestones:** Projects may require an advance deposit before initiation, with the remaining balance due upon demonstration of working code or milestones.
* **Refund Policy:** Due to the digital, tailored, and time-intensive nature of custom software engineering, payments made for completed hours, milestones, or finalized deliveries are strictly non-refundable.

## 6. Limitation of Liability

To the maximum extent permitted by applicable law, Codeables shall not be liable for any indirect, incidental, special, exemplary, or consequential damages, including but not limited to loss of profits, loss of data, system downtime, network latency errors, or broker-side execution failures.

## 7. Governing Law

These Terms & Conditions shall be governed by and construed in accordance with the laws of India. Any legal disputes arising out of or relating to our services shall be subject to the exclusive jurisdiction of the courts located in Kanpur, Uttar Pradesh, India.
